These Terms of Use ("Terms") govern your access to and use of the website at autoectd.com (the "Site"), operated by AutoeCTD Inc. ("AutoeCTD," "we," "us," or "our"), a corporation federally incorporated in Canada. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms govern use of the marketing Site only. Use of the AutoeCTD platform, products, or commercial services is governed by separate written agreements between AutoeCTD and the customer.
§ 01 — Acceptable Use
Use the Site lawfully and in good faith.
You may use this Site only for lawful purposes consistent with these Terms. You agree not to:
- Use the Site in any way that violates applicable law or regulation
- Attempt to gain unauthorized access to the Site, our servers, or any connected systems

- Use automated tools (including bots, scrapers, or spiders) to extract content from the Site without our prior written permission
- Misrepresent your identity, affiliation, or the source of any communication

The marks AutoeCTD™, AutoeDOC™, AutoeLABEL™, AutoeXML™, AutoeDEF™, and AutoeQA™ are trademarks of AutoeCTD Inc. You may not use these marks, or any confusingly similar marks, without our prior written consent.
You may view and download single copies of Site content for your personal, non-commercial reference. You may not republish, redistribute, modify, or commercially exploit any Site content without our express written permission.

- Statements about the AutoeCTD platform's capabilities are descriptive and do not guarantee any specific regulatory, scientific, or commercial outcome
- AutoeCTD does not represent or warrant that use of any current or future AutoeCTD product will result in regulatory approval, accelerated agency review, or any specific agency action
- Customers retain full and final responsibility for the accuracy, completeness, and submission of regulatory dossiers
- Nothing on the Site should be construed as a substitute for qualified Regulatory Affairs judgment or other professional review

You agree to indemnify us.
You agree to indemnify, defend, and hold harmless AutoeCTD Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of the rights of any third party

§ 11 — Governing Law and Jurisdiction
These Terms are governed by Ontario law.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any dispute arising from or related to these Terms or the Site.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
§ 12 — General Provisions
Severability, entire agreement, and assignment.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and AutoeCTD with respect to the Site and supersede any prior agreements or understandings on the same subject matter.
No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely.
